Limitation of Liability and Indemnification
Effective 17 October 2026. Applies to all Vyntez products.
This document forms part of the Terms and Conditions and applies to every Service. Some laws do not allow certain limits or exclusions; where that is so, the limits below apply only as far as the law allows.
1. The Services are provided "as is"
- We work to keep the Services available, accurate and secure, but we provide them "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Services will be uninterrupted or error-free.
- Figures and suggestions produced by the Services, including payroll, income tax, PF, ESI and PT calculations in Vyntez People, AI answers, clinical suggestions in VyntezCare, and ACA reporting figures in VyntezCare ACA, depend on the data entered and the rules in force, and must be checked by the user before relying on them.
- We are not responsible for third-party services, sellers, travel suppliers, parking operators, banks, payment gateways, government portals or AI model providers, or for content posted by users.
2. Excluded losses
- Neither party is liable to the other for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill or anticipated savings, or loss of data that could have been avoided by keeping backups or exporting data, even if told such loss was possible.
3. Cap on liability
- The total liability of Vyntez, its affiliates, directors, employees and suppliers for all claims arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence), statute or otherwise, is limited to the fees you actually paid to Vyntez for the Service giving rise to the claim in the 12 months before the event that caused it. For free Services, the limit is ₹5,000.
- For marketplace, travel and parking purchases, Vyntez's liability is limited to the Vyntez convenience or service fee for that order or booking; the seller, supplier or operator is responsible for the goods or service itself.
4. What is not limited
- Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; wilful misconduct or gross negligence; your obligation to pay fees; either party's indemnity obligations below; or any liability that cannot be limited or excluded under applicable law, including the Consumer Protection Act, 2019 for consumers.
- Penalties imposed on a party by a regulator for its own breach of law remain that party's responsibility.
5. Your indemnity to Vyntez
- You will defend, indemnify and hold harmless Vyntez, its affiliates and their directors, employees and agents against third-party claims, regulatory actions, and the resulting losses, damages, fines, costs and reasonable legal fees, to the extent they arise from: your content or data; your use of the Services in breach of the Terms or the law; processing personal data you put into the Services without a lawful basis or required notice or consent (for example employees' biometric, salary or health data); your statutory obligations as an employer, seller, supplier or clinician; or infringement of someone's rights by your content.
6. Vyntez indemnity to business customers
- For paid business plans, Vyntez will defend the customer against a third-party claim that the Services, as provided by Vyntez and used under the Terms, infringe that third party's intellectual property right in India, and pay the damages and costs finally awarded or agreed in settlement.
- This does not apply to claims caused by Customer Content, third-party products, combinations with things Vyntez did not provide, changes not made by Vyntez, or use after Vyntez offered a non-infringing alternative. If a claim is made or likely, Vyntez may modify the Service, get a licence, or end the affected Service and refund prepaid fees for the unused period. This section is Vyntez's entire liability for infringement claims.
7. How indemnities work
- The party seeking indemnity must tell the other promptly in writing, let it control the defence and settlement (but no settlement may admit fault or impose obligations on the indemnified party without its consent), and give reasonable help at the indemnifying party's cost. The indemnified party may take part with its own lawyers at its own cost.
8. Time limit for claims
- To the extent the law allows, any claim must be brought within one year after the cause of action arose.
9. Disputes
- Disputes under this document follow the governing-law and dispute-resolution section of the Terms: Indian law, arbitration under the Arbitration and Conciliation Act, 1996 seated in Varanasi, and the courts at Varanasi for interim relief and enforcement, without affecting consumers' rights before Consumer Commissions.
