Legal
Terms and Conditions
Effective 17 October 2026. Applies to all Vyntez products.
These Terms and Conditions ("Terms") are an agreement between you and Vyntez Solutions Private Limited ("Vyntez", "we", "us"), Sindhora Road, Varanasi, Uttar Pradesh 221001, India. They apply to every Vyntez website, mobile app, API and service listed on the Legal page (the "Services"). By creating an account, subscribing or using the Services you accept these Terms. If you accept them for a company or other organisation, you confirm you are authorised to bind it, and "you" means that organisation. These Terms are an electronic record under the Information Technology Act, 2000 and need no physical or digital signature.
1. Other documents that form part of these Terms
- Privacy Policy, Cookie Policy, Data Privacy and DPDP Notice (including the Data Processing Terms for business customers), Payment, Billing, Penalties and Refund Policy, and Limitation of Liability and Indemnification.
- Product terms shown in a product (for example a plan, order form, booking screen or marketplace listing). If they conflict with these Terms, the product terms apply to that product only.
- A signed agreement with Vyntez, if you have one, takes precedence over these Terms for what it covers.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter a binding contract under the Indian Contract Act, 1872. A person under 18 may use a consumer Service only where it allows this and with the verifiable consent of a parent or lawful guardian, as the Digital Personal Data Protection Act, 2023 ("DPDP Act") requires.
- Give accurate information and keep it up to date. You are responsible for everything done through your account, for keeping your password and devices secure, and for telling us at once at the Grievance Officer email if you suspect unauthorised access.
- Business administrators (for example an Owner in Vyntez People or a domain admin in VyntezMail) control the accounts of their users and are responsible for adding, removing and setting the permissions of those users.
3. Using the Services
- We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own or your organisation's internal purposes during your subscription or use, under these Terms.
- You must not: copy, resell or sublicense the Services; reverse engineer them except where the law allows; break or test our security without written permission; overload, scrape or automate access beyond published API limits; or use the Services to build a competing product.
- You must not host, display, upload, share or send any content that: belongs to someone else without the right to use it; is obscene, pornographic, paedophilic or invades another's privacy, including bodily privacy; is harmful to children; is defamatory, harassing, or insulting on the basis of gender, religion, caste or ethnicity; infringes any patent, trademark, copyright or other proprietary right; deceives or misleads about its origin or knowingly spreads misinformation; impersonates another person; threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States or public order; contains malware; or is otherwise unlawful (Rule 3(1)(b), Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021).
- You must not use the Services for spam, phishing, fraud, money laundering, unlawful surveillance of employees or others, or any purpose that breaks the law of India or the country you are in.
- We may change, add or remove features. If we remove a material feature of a paid plan during your paid period, we tell you in advance where practicable.
4. Your content and data
- You keep all rights in the content and data you or your users put into the Services ("Customer Content"). You give us a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Content only to provide, secure and support the Services, and as the law requires.
- You are responsible for having a lawful basis (for example notice and consent under the DPDP Act) for any personal data you put into the Services, including your employees', patients' or customers' data. Where we process that data for you, we act as your Data Processor under the Data Processing Terms.
- Public content you post on Vyntez Social, Vyntez Buddy or similar features can be seen by others. You give us a licence to display and distribute it within the Services and to promote the Services, until you delete it (copies others have shared may remain).
- You can export your Customer Content while your account is active and, for paid business plans, for 30 days after it ends. After that we delete it as described in the Privacy Policy.
5. Intermediary role, content removal and grievances
- For user-generated content on Vyntez Social, Vyntez Buddy, VyntezMail, VyntezConnect and similar features, Vyntez acts as an intermediary under section 79 of the Information Technology Act, 2000 and follows the IT Rules, 2021.
- We may remove or disable access to content, or suspend an account, that breaks these Terms or the law. We act on court orders and lawful government notices within the time the law sets (36 hours under the IT Rules, 2021, or less where the law requires), and on complaints of content showing a person in a sexual act, nudity or impersonation of that kind within 24 hours.
- Content created or altered by AI must be labelled where the law requires, and must not be used to deceive.
- Complaints about content, accounts or these Terms go to the Grievance Officer: Grievance Officer, Vyntez Solutions Private Limited, Sindhora Road, Varanasi, Uttar Pradesh 221001, India. Email: grievance@vyntez.com (Monday to Friday, 10:00 to 18:00 IST). We acknowledge complaints within 24 hours and resolve them within 15 days, or sooner where the law requires.
6. Marketplace and travel bookings
- On Vyntez Buddy, Vyntez Travels and Vyntez Park, goods, services, travel and parking are provided by independent sellers, suppliers and operators, not by Vyntez, unless a listing says otherwise. The seller's or supplier's terms, prices, cancellation and refund rules apply to your booking or purchase and are shown before you pay.
- As a marketplace under the Consumer Protection (E-Commerce) Rules, 2020, we show the seller's name, address and contact details, the total price with all charges, and the return, refund, exchange, warranty and delivery terms before you buy. We do not manipulate prices or post fake reviews.
- Vyntez does not guarantee the quality, safety or legality of what sellers offer, but we act on complaints through the Grievance Officer and may remove sellers who break these Terms.
7. AI features
- Several Services include AI features (for example Vyntez AI, "Ask Vyn" in Vyntez People, writing help in VyntezMail, and clinical suggestions in VyntezCare). AI output can be wrong, incomplete or out of date. Check it before you rely on it, and do not use it as the only basis for a legal, tax, medical, financial, employment or safety decision.
- Do not put into AI features personal data you are not allowed to share, or secrets you do not want processed by the AI providers named in the Privacy Policy.
- We do not use the content of business customers' accounts to train AI models.
8. Professional information is not advice
- Vyntez People shows income tax, PF, ESI, professional tax and payroll figures worked out from the rules in force and the data entered. They are estimates to help you and your employer, not tax or legal advice. The employer remains responsible for statutory deductions, deposits and returns, and the employee for their own income-tax return.
- VyntezCare ACA helps employers prepare US Affordable Care Act reporting; it is not legal or tax advice, and the employer remains responsible for its IRS filings and employee notices.
- VyntezCare supports patients and qualified clinicians. They do not replace a doctor's judgement, diagnosis or treatment. In an emergency call 112 or go to the nearest hospital.
- Links to government sites (for example the Income Tax e-filing portal, EPFO or NPS) are for convenience. Vyntez is not affiliated with them and is not responsible for their content.
9. Fees
- Paid plans, add-ons and fees are set out in the product and in the Payment, Billing, Penalties and Refund Policy, which forms part of these Terms. Fees are exclusive of GST and other taxes unless shown otherwise.
10. Intellectual property
- The Services, their software, design, logos, trademarks (including Vyntez, Vyntez People, VyntezMail, VyntezConnect, Vyntez AI, VyntezCare, Vyntez Travels, Vyntez Social, Vyntez Buddy and Vyntez Park) and documentation belong to Vyntez or its licensors. Nothing in these Terms transfers them to you.
- If you send us feedback or suggestions, we may use them without obligation to you.
- If you believe content on the Services infringes your copyright or trademark, write to the Grievance Officer with the details the Copyright Act, 1957 or the law of your country requires.
11. Suspension and termination
- You can stop using a Service and close your account at any time from its settings or by writing to us. Paid plans end at the end of the paid period (see the Refund Policy).
- We may suspend or end your access, with notice where practicable, if you break these Terms, do not pay, create a security or legal risk, or if the law or a lawful order requires it. We may act without notice where there is fraud, abuse or a risk to others.
- Sections that by their nature should survive (for example content licences for termination, payment obligations, limitation of liability, indemnity and dispute resolution) survive termination.
12. Liability and indemnity
- Our liability is limited, and you agree to indemnify us in some cases, as set out in the Limitation of Liability and Indemnification document, which forms part of these Terms.
13. Governing law and disputes
- These Terms are governed by the laws of India.
- Before starting any formal proceeding, write to the Grievance Officer so we can try to resolve the matter within 30 days.
- Any dispute arising out of or in connection with these terms or the Services is finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement (or, failing agreement, as the Act provides). The seat and venue of arbitration is Varanasi, Uttar Pradesh, the language is English, and the award is final and binding.
- Subject to arbitration, the courts at Varanasi, Uttar Pradesh have exclusive jurisdiction, including for interim relief and enforcement of an award.
- If you are a consumer, nothing in this section limits your right to approach a Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, or any non-waivable right under the law of the country where you live (for example in the EU or UK).
14. General
- We may update these Terms. We post the new version here with its effective date and, for material changes, tell account holders by email or in the product at least 15 days in advance. Continuing to use the Services after that means you accept the change.
- If any part of these Terms is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor of the business.
- Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure), such as natural disasters, epidemics, war, government action, or failures of the internet or utility providers.
- Notices to us: info@vyntez.com and the address above. Notices to you: the email on your account or in the product.
